This Affiliate Program Agreement ("Agreement") is entered into by and between ContentBlocks, LLC ("ContentBlocks," "we," "our," "us") and you ("Affiliate," "you"). This Agreement outlines the terms and conditions for your participation in the ContentBlocks Affiliate Program ("Program"). By signing up to be an Affiliate, you agree to be bound by the following terms.
1. Definitions
1.1 "Affiliate" or "You" means any person or legal entity that has completed the signup process and is a participant in the ContentBlocks Affiliate Program.
1.2 "Affiliate Link" means a unique link assigned to you that leads to the ContentBlocks Website and contains your Affiliate ID.
1.3 "ContentBlocks Website" means www.contentblocks.com.
1.4 "Applicable Laws" means all federal, state, and local laws, regulations, rules, ordinances, and codes applicable to this Agreement.
1.5 "Commission" means the monetary compensation you receive for sales or other actions covered by the ContentBlocks Affiliate Program.
1.6 "End User" means an authorized user of the ContentBlocks services who registers for a free or paid account on the ContentBlocks Website.
1.7 "Lead" means a customer prospect who clicks on the Affiliate Link that we have made available to you via the Affiliate Tool.
1.8 "Referral Window" means the duration of an affiliate cookie from the date of the End User's first arrival on the ContentBlocks Website through the Affiliate Link, which ends if a Lead clears its cookies or after the period indicated on the Affiliate Program Website, whichever is first.
2. Parties
All references to "ContentBlocks" herein mean and refer to ContentBlocks, LLC. All references to "You" and "Your" mean and refer to the person or entity who has executed this Agreement. ContentBlocks and You are each referred to herein as a "Party," and collectively as the "Parties." You agree to notify us in writing if the legal name of your business or account ownership changes within twenty-four (24) hours of such change and You certify that all such information is truthful and accurate. Notice of such changes should be sent to support@contentblocks.com.
3. Application
You agree to provide all information requested by ContentBlocks in connection with your Affiliate application and/or your continued participation as a ContentBlocks Affiliate, and you affirm that all information that you provide is truthful, accurate, and complete (without material omission). You understand and agree that ContentBlocks retains sole and exclusive discretion to determine whether you qualify for participation in ContentBlocks' Affiliate Program.
4. Consent to Be Contacted
You expressly consent to be contacted at the email address and the phone number you provide in your application about your application and the Affiliate Program. This consent is a material condition of this Agreement and may not be revoked except in writing by both Parties. You understand and agree that the foregoing method is the only reasonable method of opting out. You further agree that any other method of opting-out is not a reasonable means of opting out.
5. Commissions
5.1 Eligibility: To be eligible for a Commission, the Lead must:
- Maintain a User Account for ContentBlocks services for at least seven (7) days after registration.
- Be accepted by ContentBlocks as a valid Lead.
5.2 Commission Rates: ContentBlocks will pay you a commission for each sale made through your Affiliate Link. The specific commission rates will be provided through the Affiliate Program dashboard and may be updated from time to time at ContentBlocks' sole discretion. You will be notified of any changes to the commission rates via email or through the Affiliate Program dashboard.
5.3 Payment Terms: Actions are locked 1 month and 1 day after the end of the month they are tracked. Approved transactions are paid 4 days after the end of the day they lock.
5.4 Payout Period: Commissions will be paid out after the End User has exited the refund window. The payout period will be net 30 days, in alignment with our refund policy. Once an End User is out of the refund window, your commission will be cleared.
5.5 Minimum Payout Threshold: Your combined Commissions must equal or exceed $100 before you receive a payment from ContentBlocks. If your combined Commissions in a 120-day period do not exceed $100, your Commissions will not be paid and will be forfeited to ContentBlocks.
6. Right to Reverse Commissions and Participation
6.1 Right to Reverse: We reserve the right to freeze, void, or reverse any Commission at any time for any reason, including any actual or suspected breach of this Agreement.
6.2 Invalid Actions: If a Lead clears their cookies during the Referral Window, ContentBlocks shall not be liable for any Commissions that may have otherwise been owed to the Affiliate.
7. Buyout Option
ContentBlocks reserves the right, at any point in time, to buy out your affiliate monthly commission for the next six (6) months. This buyout option is at the sole discretion of ContentBlocks and is not mandatory.
8. Term and Termination
8.1 Effective Date: This Agreement is effective upon registration and remains in effect until terminated by either party.
8.2 Termination by Affiliate: You may terminate your participation at any time by sending a written request to ContentBlocks at support@contentblocks.com.
8.3 Termination by ContentBlocks: ContentBlocks may terminate your participation at any time, at its sole discretion and without notice, for any reason.
8.4 Post-Termination: Upon termination, all licenses and rights to use ContentBlocks materials, trademarks, and your Account will immediately terminate.
9. Ownership and Intellectual Property
9.1 Trademark Usage: ContentBlocks grants you a non-exclusive, limited, revocable right to use the ContentBlocks Marks. Your use of the ContentBlocks Marks is subject to the usage guidelines provided by ContentBlocks. All goodwill arising out of the use of the ContentBlocks Marks shall inure to ContentBlocks' benefit.
9.2 Content Ownership: All rights, titles, and interests in and to the ContentBlocks Website, ContentBlocks services, and all technology related to the operation thereof, including all intellectual property rights, shall remain with ContentBlocks.
10. Compliance with Laws
You shall comply with all applicable laws and regulations, including, but not limited to, the Federal Trade Commission Act, the CAN-SPAM Act of 2003, and all applicable data protection and privacy laws.
11. Confidentiality
11.1 Confidential Information: During the term of this Agreement, you may have access to certain confidential information of ContentBlocks. You shall not disclose or use any confidential information without ContentBlocks' prior written consent.
12. Indemnification
You agree to indemnify, defend, and hold harmless ContentBlocks and its affiliates, directors, officers, employees, and agents from and against all claims, damages, liabilities, losses, costs, and expenses arising out of or related to your participation in the Affiliate Program or your breach of this Agreement.
13. Limitation of Liability
EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, IN NO EVENT SHALL CONTENTBLOCKS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
14. Dispute Resolution
14.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
14.2 Arbitration: Any disputes arising under or in connection with this Agreement shall be resolved through binding arbitration conducted in Delaware.
15. Miscellaneous
15.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
15.2 Modification: ContentBlocks reserves the right to modify the terms of this Agreement at any time. Notice of any modifications will be provided to you by email or through the Affiliate Tool.
15.3 No Waiver: Failure to enforce any part of this Agreement is not a waiver of future enforcement.
15.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.5 Electronic Notices: All notices and communications regarding this Agreement shall be addressed to support@contentblocks.com. You agree to receive communications from us electronically.
By participating in the ContentBlocks Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
